1.ENGAGEMENT: Client hereby engages AIR CHARTER ONE, LLC, West Point Plaza, 4865 Palm Coast Pkwy NW, Ste 2, Palm Coast , Florida 32137, to act as broker to arrange for the charter services that are described on the attached Charter Quote, from third party FAA certified air carriers operating under the appropriate part of the Federal Aviation Administration (FAA) regulations.
2. CHARTER REQUEST/QUOTES: All requests for services are subject to acceptance by AIR CHARTER ONE, LLC. Your Charter Quote/Cost Estimate will be delivered to you by fax and/or email from AIR CHARTER ONE, LLC providing you with a charter confirmation number and the estimated price quote, specifying the date(s) and departure time of travel, flight segments arranged on your behalf, aircraft type and other requests specified by you when booking your flight. You will be requested to sign and return a copy of the Charter Quote signifying your confirmation of its contents and your consent to comply with and be bound by these Standard Terms & conditions.
3. CHANGE IN ITINERARY/ CANCELLATION: Client understands and acknowledges that the cancellation of any reservation or portion thereof by the Client after returning the signed Charter Quote will result in a cancellation charge equal to the costs incurred as a result of any partial completion of itinerary, including but not limited to return of aircraft to its base , plus the greater of (i) costs incurred for specifically positioning and repositioning an aircraft and flight crew in preparation for the canceled trip, or (ii) flight charges equivalent two hours of operation for each day of the canceled itinerary, but in no event will the cancellation charge exceed the cost of the canceled trip.
4. CANCELLATION CHARGE: Client will be charged a 100% cancellation fee for one way flights or multi-leg one-way flights regardless of time canceled. Client will be charged cancellation fees as follows for round trips: 50% of total cost after the Charter Quote has been signed and returned to AIR CHARTER ONE, LLC, and 100% if canceled within 48 hours prior to scheduled departure time and date. All holiday flight cancellations are subject to immediate 100% cancellation charge. Flight itinerary changes within 48 hours of your scheduled departure time will be subject to on-demand pricing.
5. PRICE QUOTES/COST ESTIMATES: The cost estimate provided to Client for each specific Charter Quote is subject to the following:
( a) Domestic Flights are subject to federal excise tax 7.5%, segment fees $3.70 per passenger per segment and other applicable fees & taxes. International flights are subject to federal and state taxes in addition to departure/arrival fees and other applicable fees & taxes. AIR CHARTER ONE, LLC will add the applicable fees & taxes , using the current rate, to each charter invoice and Client shall pay such amounts.
(b) Client understands that the cost estimate provided by AIR CHARTER ONE, LLC will include estimates for certain cost items. Should additional costs be incurred,Client will be notified of such deviation from the original quote, however in all circumstances whereby these additional costs are incurred, after the flight has commenced, Client agrees to pay for the actual amount of flight time, taxi time, applicable taxes & fees, over-flight permits, weather delays, landing charges, catering costs, flight phone, customs fees, de-icing of aircraft, crew trip expenses and similar costs relating to the services provided should these amounts differ from the original cost estimate. If flight has not commenced in any form and deviations from the original Charter Quote are presented to Client, Client has opportunity to approve the additional flight costs or cancel the chartered flight without cancellation penalty.
(c) If Client requests a deviation from the original Charter Quote and the deviation/s are approved by AIR CHARTER ONE, LLC and the Aircraft Operator, or necessitated by Client's actions, delays, etc., then the amount owed by Client to AIR CHARTER ONE, LLC may differ from the original cost estimate and Client agrees to pay all charges which are incurred as a result, immediately upon invoice.
6) PAYMENT TERMS: AIR CHARTER ONE, LLC requires payment in advance for all flights. By providing your credit card information, you authorize AIR CHARTER ONE, LLC to obtain payment from the issuer of the credit card you presented and you agree to perform the obligations set forth in your agreement with you credit card issuer. Wire transfers are acceptable and must be received by AIR CHARTER ONE, LLC within 24 hours of signed Charter Quote . Corporate checks are acceptable and must be received by AIR CHARTER ONE, LLC by overnight mail within 24 hours of signed Charter Quote. Any check issued to AIR CHARTER ONE, LLC which is denied by our bank for any reason is subject to collection and will be assessed a collection fee, attorney fees and court costs.
(7) ACKNOWLEDGEMENT OF OPERATIONS: Client acknowledges that AIR CHARTER ONE, LLC is acting solely as a broker and is not an air carrier / operator and will not be operating flights that Client authorizes AIR CHARTER ONE, LLC to book or arrange on Client's behalf. The aircraft carriers/operators have sole responsibility, liability, and control of all aspects of the aircraft charter services they will provide to Client(s) including, without limitation, aircraft availability and pricing, the commencement and termination of scheduled flights, the operation, regulation, condition, and safety of the flight/s, passengers, baggage, and cargo and other people and events associated with Client's air travel, such as crew performance and catering services.
(8) SAFETY OF OPERATION: Without limitation, Client acknowledges and agrees that the aircraft operators and/or their pilots will be solely responsible for all decisions regarding safety determinations with respect to the commencement, operation and termination of flights.
(9) FORCE MAJEURE: AIR CHARTER ONE, LLC will not be deemed to be in breach of its obligations hereunder or have any liability to Client for any delay, cancellation or damage, arising in whole or in part, from any act of God, act of nature or weather, acts of civil or military authority, strike or labor dispute, mechanical or equipment failure, lack of essential supplies or parts, or for any cause beyond the direct control of AIR CHARTER ONE, LLC.
(10) DAMAGES: Neither the aircraft carrier/operators nor AIR CHARTER ONE LLC shall have liability or responsibility for delay, cancellation or failure to furnish any service to be provided to Client when caused by mechanical difficulty, weather conditions, acts of God, war, civil commotion, strikes or labor disputes, government regulation, law, rule or authority, or any causes beyond their reasonable respective control. Client assumes all responsibility and liability for Client and Client's passengers/invitees safety, schedule, baggage, cargo, business and personal activities and financial ramifications associated with Client's air reservations and travel arranged by AIR CHARTER ONE, LLC and performed by aircraft carrier/operator(s). Client and/or Client's agents, passengers, guests or employees shall not engage in any act or possess any substance or allow cargo to contain any substance which may result in the seizure or forfeiture, or damage to or unsafe operation of the aircraft used in the charter contracted for Client by AIR CHARTER ONE, LLC, and AIR CHARTER ONE, LLC makes no representations or warranties of any kind, either express or implied, as to any matter regarding express or implied warranties not set forth elsewhere herein, or of fitness for a particular purpose, merchantability or otherwise. Client agrees to indemnify and hold harmless AIR CHARTER ONE, LLC, it's affiliates and all of their officers, directors, employees, members, legal representative, and any other agents, successors and assigns (the "Indemnified Parties") from and against any and all liabilities, losses, damages, penalties, costs and expenses on account of any claim, suit, action, demand, proceeding or anything of a similar nature made or brought against any of the Indemnified Parties as a result of the services performed hereunder and by the aircraft operator on Client's behalf.
(11) IN NO EVENT WILL AIR CHARTER ONE, LLC BE LIABLE FOR ANY TYPE OF INDIRECT, INCIDENTIAL OR CONSEQUENTIAL DAMAGES, WHETHR ARISING IN CONTRACT OF IN TORT, EXCEEDING THE AMOUNT PAID BY CLIENT FOR TH E SERVICES FURNISHED HEREUNDER OR PURSUANT TO A CHARTER QUOTE OR COST ESTIMATE. CLIENT AGREES TO INDEMNIFY AND HOLD AIR CHARTER ONE, LLC HARMLESS FROM AND AGAINST ANY LOSS, DAMAGE OR EXPENSE INCURRED BY CLLIENT ( INCLUDING CLIENT'S AGENTS, GUESTS, PASSENGERS OR ANY EMPLOYEES, IF APPLICABLE) BY REASON OF ANY ACTION OR OMISSION OF AIR CHARTER ONE, LLC, THE AIRCRAFT CARRIER/OPERATOR, AND THE ENDEMNIFIED PARTIES OR CLLIENT, INCLUDING CLIENT'S AGENTS, GUESTS, PASSENGERS OR ANY EMPLOYEES, IF APPLICABLE. furthermore, CLIENT AGREES TO PAY FOR ANY DAMAGETO THE CHARTER AIRCRAFT CAUSED BY CLILENT OR CLIENT'S AGENTS, GUESTS, PASSENGERS OR ANY EMPLOYEES OF CLIENT.
(12) REGULATIONS: This Agreement and the services to be provided to Client hereunder are subject to all applicable rules, regulations, approvals and certifications in effect from time to time including, but not limited to, those promulgated by the FAA which now or hereafter may be imposed or required. This Agreement is governed by the law of the State of Florida and the federal transportation code. The illegality or non-validity of any paragraph, clause or provision contained or referred to in this Agreement shall not affect tor invalidate any other paragraph or provision hereof. It is understood and agreed that this Agreement contains the entire agreement of the Client and AIR CHARTER ONE, LLC with respect to the subject matter hereof. No terms or provisions of this Agreement may be changed except by written instrument signed by both parties.
Client accepts an agrees to the terms and conditions of AIR CHARTER ONE, LLC Charter Broker Agreement.
